1. Definitions & Interpretation
1.1 “We”, “us”, “our” means Signs4.School Ltd (company number 16767185) of 21 St Davids Road, Hextable, Kent BR8 7RJ (VAT No: 503573313).
1.2 “You”, “your” means the customer (school, college or other educational institution) placing an order via our website or otherwise.
1.3 “Goods” means the signage, banners, notice boards or other printed materials and installation services we supply to you.
1.4 “Website” means https://www.signs4.school/ and any ordering, upload or quotation services we provide online.
1.5 “Order” means your request to purchase Goods from us, whether placed via the Website, by e-mail, telephone or other means.
1.6 “Contract” means the contract between you and us for the supply of Goods, incorporating these terms and conditions.
2. Basis of Contract
2.1 These Terms & Conditions apply to all Orders for Goods placed by you and supersede any other terms you may propose (including any purchase order terms).
2.2 No variation to these Terms & Conditions shall be binding unless agreed in writing by us.
2.3 Your Order constitutes an offer to purchase the Goods pursuant to these terms. We reserve the right to accept or reject your Order at our discretion.
2.4 We will confirm acceptance of your Order by sending you an Order Confirmation (by email or other means). The Contract will only come into existence when we issue the Order Confirmation.
2.5 Any quotes we provide are valid for 30 days from the date given, unless otherwise specified, and may be withdrawn or varied by us if you request changes to the specification, quantity or delivery schedule.
3. Goods, Specification & Artwork
3.1 We shall supply the Goods in accordance with the specification set out in your Order, as accepted in our Order Confirmation.
3.2 You shall be responsible for providing all necessary logos, images, text, artwork files and fonts (“Materials”) for the Goods. You warrant that you have the rights to use the Materials and that the Materials are accurate and do not infringe any third-party rights.
3.3 We shall provide you with a proof or sample (digital, printed or mock-up) for your approval prior to production unless explicitly waived. Your written approval is required before production begins.
3.4 After approval of the proof/samples you will be responsible for any errors or omissions (for example spelling mistakes, incorrect logos, colours or sizing) and any additional cost to remedy such errors will be charged to you.
3.5 We may make reasonable changes in the specification of the Goods which are required to conform to any applicable safety or statutory requirements, or where the change does not materially affect the quality or performance of the Goods.
4. Price, Payment & Taxes
4.1 The price for the Goods shall be as stated in our Order Confirmation.
4.2 All prices are exclusive of shipping / delivery, installation (if applicable), and VAT unless otherwise stated. You shall pay all freight, carriage, installation and other shipping costs specified in your Order.
4.3 Payment terms: unless otherwise agreed in writing, payment is due:
(a) For Goods not requiring installation: full payment prior to production and dispatch; or
(b) For Goods including installation: a deposit in advance (typically 50%) with the balance due on completion of installation.
4.4 If you fail to make any payment when due we may suspend further work, delay delivery or installation, and charge you interest on the overdue amount at the rate of 4 % per annum above the base rate of the Bank of England.
4.5 You shall be responsible for any applicable taxes (including VAT) associated with your purchase.
5. Delivery & Installation
5.1 We will deliver or install the Goods on the date(s) or within the period specified in the Order Confirmation or as otherwise agreed.
5.2 Delivery/installation dates are estimates only. Time for delivery/installation is not of the essence. We shall not be liable for any delay.
5.3 You must provide access, make site ready, obtain any permissions, and provide any power or scaffolding as required for installation. Additional costs arising from site not ready or conditions unsuitable for installation will be charged to you.
5.4 Risk in the Goods passes to you on delivery/installation (whichever is sooner). Ownership (title) in the Goods remains with us until full payment of all sums due under the Contract (and any other contract between you and us) is received.
5.5 If you fail to take delivery, or fail to provide access for installation, we reserve the right to charge you for storage and any additional costs incurred.
6. Warranty, Defects & Returns
6.1 We warrant that the Goods will, for a period of 12 months from installation (or from delivery if no installation), be free from material defects in workmanship and materials.
6.2 This warranty does not apply if defects arise from: (a) wear and tear, (b) misuse, neglect, or accidental damage, (c) incorrect site conditions, (d) alterations or repairs done by you or third parties without our consent, (e) exposure to extreme conditions not advised by us.
6.3 You must inspect the Goods on delivery/installation and notify us in writing of any defect or non-conformity within 5 working days of delivery/installation. If you fail to do so, the Goods shall be deemed accepted.
6.4 Upon valid claim we may, at our option, repair or replace the defective Goods (or part thereof) or refund to you the price paid for the defective Goods.
6.5 This is your exclusive remedy, and we shall not be liable for any further loss or damage (including loss of profit, business interruption or reputational damage) except in respect of death or personal injury caused by our negligence, or for fraudulent misrepresentation.
6.6 No Goods may be returned by you without our prior written consent.
7. Intellectual Property
7.1 All rights in designs, artwork, proofs and all intellectual property rights in the Goods (excluding any Materials supplied by you) remain our property.
7.2 You grant us a non-exclusive, royalty-free licence to use the Materials you supply for the purpose of manufacturing, installing and promoting the Goods.
7.3 You warrant that the use of the Materials (and the Goods incorporating them) will not infringe any third-party intellectual property rights.
8. Limitation of Liability
8.1 Nothing in these Terms & Conditions shall limit or exclude our liability for: (a) death or personal injury caused by our negligence, (b) fraud or fraudulent misrepresentation, (c) any other liability which cannot be limited or excluded under applicable law.
8.2 Subject to clause 8.1, our total liability to you under or in connection with the Contract (whether in contract, tort, negligence, breach of statutory duty or otherwise) shall not exceed the price paid by you for the Goods.
8.3 We shall not be liable for any indirect or consequential loss or damage (including loss of profit, business interruption, loss of reputation) arising out of or in connection with the Contract.
9. Cancellation & Variation
9.1 You may cancel your Order only with our written consent and on such terms as we may specify; you may be liable for costs incurred by us up to the date of cancellation (including work in progress, materials ordered or made, and any committed installation costs).
9.2 We may cancel the Contract at any time by giving you written notice if you commit a material breach, become insolvent, fail to pay when due, or if we are prevented from performing because of circumstances beyond our control.
9.3 Any variation to the Goods, specification, quantity, or installation schedule requested by you must be in writing and may incur additional cost and delay.
10. Force Majeure
10.1 We shall not be liable for any failure or delay in performing our obligations where such failure or delay is caused by circumstances beyond our reasonable control (including but not limited to acts of God, war, terrorism, strike, lock-out, epidemic/pandemic, governmental act, supply chain delays, natural disaster).
10.2 In such circumstances we may suspend performance or, if the event continues for more than 30 days, we may cancel the Contract by notice to you without liability.
11. Data Protection & Privacy
11.1 In processing your order we will handle your personal data in accordance with our Privacy Policy and applicable data protection laws.
11.2 You warrant that any personal data you provide (for signage, installation or delivery) has been lawfully collected and you have the right to pass it to us for these purposes.
12. Governing Law & Jurisdiction
12.1 The Contract shall be governed by and construed in accordance with the laws of England & Wales.
12.2 The parties submit to the exclusive jurisdiction of the courts of England & Wales to resolve any dispute arising out of or in connection with the Contract.
13. General
13.1 If any provision of these Terms & Conditions is held invalid or unenforceable, the remaining provisions shall continue in full force.
13.2 No waiver of any breach of any provision of these Terms & Conditions shall constitute a waiver of any subsequent breach of the same or any other provision.
13.3 These Terms & Conditions, together with the Order Confirmation, constitute the entire agreement between the parties concerning the Goods and supersede all prior communications, representations or agreements.
13.4 You may not assign, subcontract or transfer any of your rights or obligations under the Contract without our prior written consent.
13.5 We may subcontract installation and delivery of the Goods but remain responsible to you for the performance of the subcontracted service.
